Contract/Terms & Conditions Customer(s) hereby agrees that all information received from CareerEdge will be used for legitimate purposes for which information is requested. Customer hereby agrees to defend and agrees to indemnify CareerEdge against any and all claims, demands, and/or suits, legal or equitable, that arise in any way out of the obtaining information requested by Customer including, but not limited to claims, demands, and/or suits, legal or equitable for CareerEdge's own negligence, the negligence of Customer and/or its agents or employees, misrepresentation of any kind, non-disclosure of any kind, misuse of information, improper disclosure of information, unfair business practices, unfair competition, and any violation of any federal, state or local statute, law, regulation, code or ordinance arising out of the obtaining of the information requested by Customer and/or its agents or employees.
Customer understand orders are obtained through public record databases, and assume full responsibility for inaccurate or incomplete identifying information submitted or results received. Customer understand requests may not to canceled.
This agreement shall be interpreted under the laws of the State of California. Client and CareerEdge hereby agree that, in the event that either party files litigation that relates, in any way, to this agreement, or the application of any part thereof, said litigation shall be venued in a court of competent jurisdiction located in Contra Costa County, California. The Court shall award the prevailing party its costs of litigation, including reasonable attorneys fees.
If any provisions of this agreement or the application thereof to any persons, or entities, or circumstances shall, to any extent, be invalid or unenforceable, the remainder of the agreement by the application of such provision or provisions to persons or circumstances other than those as to whom or to which it is held invalid or unenforceable shall not be deemed affected thereby, and every provision of the agreement shall be valid and enforceable to the fullest extent permitted by law.
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether written or oral. This Agreement supersedes any prior written or oral agreements between the parties.
I agree to pay CareerEdge the full amount of the search regardless of the outcome of the search.
